This Indemnity Agreement (“Agreement”) is entered into between LGM Management Limited hereinafter referred to as the “Agency,” and the undersigned client, hereinafter referred to as the “Client,”
Indemnification: Client agrees to indemnify, defend, and hold harmless the Agency, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney’s fees, arising out of or related to Client’s use of the Agency’s services, including but not limited to travel bookings, accommodations, transportation, or any other services arranged by the Agency on behalf of the Client.
Assumption of Risk: Client acknowledges and agrees that travel involves inherent risks, including but not limited to accidents, illness, injury, property damage, delays, and cancellations, which may result in personal injury, death, or property damage. Client voluntarily assumes all risks associated with travel and agrees that the Agency shall not be liable for any loss, damage, or injury resulting from such risks.
Travel Insurance: Client acknowledges that the Agency strongly recommends obtaining comprehensive travel insurance to protect against unforeseen circumstances, including trip cancellations, medical emergencies, and lost or stolen belongings. Client understands that travel insurance is not included in the Agency’s services unless explicitly stated otherwise in writing.
Limitation of Liability: In no event shall the Agency be liable to Client or any third party for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, loss of business, or loss of data, arising out of or related to Client’s use of the Agency’s services, even if the Agency has been advised of the possibility of such damages.
No Guarantees: Client acknowledges that the Agency does not guarantee the availability, quality, or suitability of any travel services provided by third-party vendors, including airlines, hotels, tour operators, or transportation providers. Client agrees that the Agency shall not be liable for any dissatisfaction with such services.
Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired in any way.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Kenya without giving effect to any conflict of law principles.
Entire Agreement: This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether oral or written.
